Vendor Platform Agreement

This Vendor Platform Agreement ("Agreement") is entered into between GreenEnergy ("Platform", "we", "us") and the individual or business entity completing this registration form ("Vendor", "you"). By accepting this Agreement, you confirm that you have the legal authority to bind your business to these terms.

1. Eligibility & Registration

1.1 You must be a legally registered business operating within the Province of Cavite, Philippines to register as a vendor on the Platform.
1.2 You warrant that all information provided during registration — including business permits, DTI registration, and BIR certificates — is accurate, current, and authentic.
1.3 Submitting falsified, altered, or expired documents is grounds for immediate account termination and may be reported to relevant authorities.

2. Platform Services

2.1 The Platform provides tools for managing solar installation inquiries, customer communications, product listings, inventory, procurement, and delivery tracking.
2.2 We reserve the right to modify, suspend, or discontinue any feature with or without prior notice, provided we make reasonable efforts to notify active vendors.
2.3 Access to advanced features may be subject to subscription plans and additional fees as outlined in the Platform's current pricing schedule.

3. Vendor Obligations

3.1 You agree to provide accurate product information, honest pricing, and timely fulfillment of confirmed orders.
3.2 You must keep your business documents, contact details, and bank/payment information up to date within the Platform.
3.3 You must not engage in deceptive, misleading, or fraudulent conduct toward customers or other vendors using the Platform.
3.4 You are solely responsible for the quality, safety, and legality of any products or services you offer through the Platform.
3.5 You agree to comply with all applicable Philippine laws, including but not limited to the Consumer Act (RA 7394), the Data Privacy Act (RA 10173), and DTI fair trade regulations.

4. Customer Transactions

4.1 All transactions between Vendor and Customer are the sole responsibility of the Vendor. The Platform acts as an intermediary marketplace and is not a party to the sale.
4.2 You agree to honor quoted prices, respond to customer inquiries within 48 hours, and resolve disputes in good faith.
4.3 Repeated unresolved customer complaints may result in account suspension or permanent removal from the Platform.

5. Fees & Payments

5.1 A non-refundable site visit fee of ₱1,500 is charged per solar installation inquiry accepted and confirmed by the Vendor.
5.2 Subscription fees, if applicable, are billed in advance and are non-refundable except as required by Philippine consumer protection law.
5.3 The Platform is not liable for payment disputes between Vendor and Customer.

6. Intellectual Property

6.1 By uploading logos, product images, or other content to the Platform, you grant the Platform a non-exclusive, royalty-free license to display that content for the purpose of operating the marketplace.
6.2 You retain ownership of your content but warrant that it does not infringe any third-party intellectual property rights.

7. Data Privacy

7.1 We collect and process your personal and business data in accordance with our Privacy Policy and the Data Privacy Act of 2012 (RA 10173).
7.2 You consent to receiving transactional emails, account notifications, and platform-related communications at the email address registered.
7.3 You may withdraw non-essential communications consent at any time via account settings.

8. Account Suspension & Termination

8.1 We reserve the right to suspend or permanently terminate any vendor account that violates this Agreement, engages in fraudulent activity, or poses a risk to customers or the Platform.
8.2 You may terminate your account at any time by submitting a written request. Pending obligations (active orders, outstanding fees) must be resolved before closure.
8.3 Upon termination, your data will be handled in accordance with our data retention policy as required by law.

9. Limitation of Liability

9.1 The Platform is provided "as is." We do not guarantee uninterrupted service and are not liable for indirect, incidental, or consequential damages arising from your use of the Platform.
9.2 Our total liability to you for any claim shall not exceed the fees you paid to the Platform in the 3 months preceding the claim.

10. Governing Law

10.1 This Agreement shall be governed by the laws of the Republic of the Philippines. Any disputes shall be submitted to the jurisdiction of the appropriate courts of Cavite Province or the Regional Trial Court of the relevant jurisdiction.

11. Amendments

11.1 We may update this Agreement at any time. Material changes will be communicated via email and/or a notice on your vendor dashboard at least 14 days before taking effect. Continued use of the Platform after the effective date constitutes acceptance of the updated terms.
